These Terms of Service ("Terms") govern your access to and use of the services, applications, and platforms ("Services") provided by Atticus Technology Software - FZCO ("Atticus," "we," "us," or "our"), a company registered in Dubai Silicon Oasis, United Arab Emirates, under License No. 87040.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Services Description

Atticus provides mobile and web applications with usage-based pricing models. Our Services include but are not limited to software applications, platforms, IT consultancy, and related digital solutions. The specific features, pricing, and usage limits applicable to each Service are described on the relevant product page or in a separate agreement.

2. Account Registration

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account and use our Services.

3. Usage-Based Pricing and Payments

3.1 Pricing Model

Our Services operate on a usage-based pricing model. You will be charged based on your actual usage of the Services as measured by our systems. Specific pricing details, usage metrics, and billing cycles are described on the relevant product page or in your service agreement.

3.2 Payment Terms

  • Payments are processed through our authorized payment providers and virtual POS systems.
  • You authorize us to charge your provided payment method for all fees incurred through your use of the Services.
  • All fees are quoted and charged in the currency specified on the product page (typically USD or AED).
  • Usage charges are calculated and billed at the end of each billing cycle unless otherwise specified.

3.3 Taxes

All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying any taxes, including VAT, that may apply to your use of the Services based on your jurisdiction.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any systems or networks
  • Upload or transmit viruses, malware, or harmful code
  • Use the Services to infringe on intellectual property rights
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use automated systems to access the Services without our consent
  • Resell or redistribute the Services without authorization

5. Intellectual Property

All intellectual property rights in the Services, including software, designs, text, graphics, logos, and trademarks, are owned by Atticus or its licensors. Your use of the Services does not grant you any ownership rights in the Services or their content.

You retain ownership of any content you submit or upload to the Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your content solely for the purpose of providing the Services.

6. Service Availability and Modifications

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Services.

7. Data Protection

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Services, you consent to the data practices described in our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Atticus and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Services.

Our total liability for any claims arising from or related to the Services shall not exceed the total amount paid by you to Atticus during the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Atticus and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

Either party may terminate the use of Services at any time. We may suspend or terminate your access to the Services immediately if:

  • You breach any provision of these Terms
  • You fail to pay any fees when due
  • We are required to do so by law
  • We determine that your use of the Services poses a risk to other users or our systems

Upon termination, your right to use the Services will immediately cease. Any outstanding usage charges will become due and payable.

11. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.

12. General Provisions

  • Entire Agreement: These Terms, along with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and Atticus.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
